これはツールの参照が.NET Frameworkの2.x～3.5のライブラリを指しているためです。そのため、.NET Framework 4.xだけが入っている環境だとわけのわからないエラーを起こします。この解決法はStackoverflowにアーティクルが公開されていますが、MetaDataProcessor.exeを.NET Framework 4.xのアセンブリを参照するように.configファイルを加えます。当該.configファイルはCodePlexで公開されています。
